NRI business setup

Can an NRI Start a Company in India Without Visiting India?

In many cases, an NRI can coordinate Indian company incorporation while living abroad. The key is preparing the overseas documents, directors, registered office, banking and foreign-investment route before the process starts.

Quick Summary

Company incorporation can often be handled while the NRI remains abroad.

Government guidance states that a foreign director's physical presence is not mandatorily required at the time of incorporation in India. The founder can therefore often prepare the incorporation file from overseas.

But remote incorporation does not mean every step of operating the company will be remote. Overseas-document authentication, resident-director rules, registered-office requirements, bank KYC, foreign-investment funding and business-specific licences must still be handled correctly.

Remote setup

What can an NRI usually coordinate from abroad?

  • Decide the company structure and shareholding.
  • Provide passport and overseas address documents.
  • Prepare subscriber and director information.
  • Arrange document authentication as applicable.
  • Coordinate Digital Signature Certificate requirements.
  • Prepare the MCA incorporation application.
  • Arrange the Indian registered office documents.
  • Plan the investment and FEMA route before remitting capital.
The key distinction:You may be able to incorporate without travelling to India, but banking, KYC, licences and later operational requirements can follow their own processes.

Which overseas documents should the NRI prepare?

The incorporation file commonly starts with identity and residential-address evidence. The precise list should be confirmed for the proposed role and country.

  • Passport
  • Overseas residential address proof
  • Photograph and contact details
  • PAN, where applicable
  • Subscriber information
  • Director information and declarations
  • Proposed shareholding details
  • Authenticated copies where required

Foreign documents

Notarisation, apostille or consular authentication?

MCA's SPICe+ guidance distinguishes between documents from Commonwealth countries, Hague Apostille Convention countries and other countries.

Where executedTypical MCA authentication approach
Commonwealth countryNotarial attestation under the applicable MCA guidance.
Hague Apostille Convention countryNotarisation followed by apostille.
Other countryNotarial attestation plus the applicable Indian diplomatic or consular authentication.

Confirm the route before signing or couriering documents. Incorrect authentication can delay the incorporation file.

Can the NRI also be a director?

Yes, subject to applicable Companies Act requirements. The company must separately satisfy India's resident-director requirement. Shareholding and the board should therefore be planned as separate questions.

Does the NRI need an Indian address?

The founder can continue living overseas, but the Indian company needs a registered office in India. This is the company's official address and is separate from the founder's residential address.

How does remote incorporation work?

Once ownership, directors and documents are ready, incorporation can proceed through MCA's SPICe+ process and linked filings.

  • Before filing: Confirm activity, ownership and directors.
  • Documents: Complete the correct overseas authentication.
  • Digital process: Arrange digital-signature and director steps.
  • Office: Prepare the registered-office file.
  • Incorporation: Submit the applicable MCA forms.
  • After incorporation: Move to banking, capital and compliance setup.

Important limitation

Does remote incorporation mean remote bank-account opening?

Not necessarily. A bank can have its own KYC, beneficial-owner, authorised-signatory and onboarding requirements. Before choosing a bank, confirm what it requires from an overseas director or shareholder and whether any physical verification or India-side signing will be needed.

How should the NRI bring investment money into India?

Do not treat the first capital transfer as an ordinary personal remittance. The money should match the legal investment and applicable foreign-investment route.

FC-GPR:Where an Indian company issues equity instruments to a person resident outside India and the issue is treated as FDI, RBI's reporting framework generally requires Form FC-GPR within 30 days from the date of issue.

Plan the investor name, amount, instrument, bank trail, share allotment and FEMA reporting together before sending the funds.

When might the NRI still need to visit India?

There is no good reason to promise that an NRI will never need to travel. Incorporation can often be coordinated remotely, but a later requirement can arise from a bank, sector-specific licence, property or office transaction, operational contract or another authority.
